In post No. 117 I touched upon ongoing corporate litigation in Delaware, concerning the the well-known Dutch telecom company KPN, and involving issues like minority freeze-out, entire fairness review and poison-pill defences. A lot of the good stuff that Delaware corporate case law has to offer.
Although the case looked promising, especially from the perspective of a practitioner interested in 'redeeming poison pill' developments (and I'm surely not the only one), it now turns out that the quibbling parties kissed and made up. Aah, too bad.
Looking for some background info? Steve Davidoff, a.k.a. The Deal Professor, has a long post with a lot of factual details, links to documents and some speculations on the legal side of things (i.e., what would VC Strine have done, had the case not been settled?).
Obviously, the biggest loss is that this outcome prevents VC Strine from further commenting on Dutch society and the way things work in the Netherlands. From the August 14 hearing transcript (p. 14):
